PLEASE READ THESE SUPPLEMENTAL TERMS (THE “SUPPLEMENTAL TERMS”) CAREFULLY. THESE SUPPLEMENTAL TERMS GOVERN THE USE OF PALS (AS DEFINED BELOW) AND APPLIES TO ALL USERS ACCESSING OR USING PALS. THESE SUPPLEMENTAL TERMS SET FORTH ADDITIONAL TERMS AND CONDITIONS APPLICABLE TO YOUR USE OF PALS, AND THESE SUPPLEMENTAL TERMS INCORPORATE BY REFERENCE AND ARE SUPPLEMENTAL TO THE TAVUS TERMS OF SERVICE [HYPERLINK] (THE “TERMS OF SERVICE” OR “TOS”). BY ACCESSING OR USING PALS IN ANY WAY; ACCEPTING THESE SUPPLEMENTAL TERMS BY CLICKING ON THE “I ACCEPT” BUTTON; OR COMPLETING THE ACCOUNT REGISTRATION PROCESS, YOU REPRESENT THAT: (1) YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE SUPPLEMENTAL TERMS AND THE TOS, (2) YOU ARE OF LEGAL AGE TO FORM A BINDING CONTRACT WITH TAVUS, (3) YOU ARE NOT BARRED FROM USING PALS UNDER THE LAWS OF THE UNITED STATES, YOUR PLACE OF RESIDENCE OR ANY OTHER APPLICABLE JURISDICTION; AND (4) YOU HAVE THE AUTHORITY TO ENTER INTO THESE SUPPLEMENTAL TERMS AND THE TOS PERSONALLY OR, IF YOU ARE ACCESSING OR USING PALS ON BEHALF OF AN ENTITY, ON BEHALF OF THE ENTITY IDENTIFIED IN THE ACCOUNT REGISTRATION PROCESS. IF THE INDIVIDUAL ENTERING INTO THIS AGREEMENT IS DOING SO ON BEHALF OF AN ENTITY, ALL REFERENCES TO “YOU” OR “YOUR” IN THIS AGREEMENT WILL ALSO BE DEEMED TO REFER TO SUCH ENTITY. IF YOU DO NOT AGREE TO BE BOUND BY THESE SUPPLEMENTAL TERMS AND THE TOS, YOU MAY NOT ACCESS OR USE PALS.
1. Definitions. Except as otherwise specified in the Supplemental Terms, capitalized terms in these Supplemental Terms will have the same meanings as used in the Terms of Service. With respect to these Supplemental Terms, the below capitalized terms are defined as follows:
“Agentic Services” means autonomous or semi-autonomous services making use of virtual assistants or agents capable of interacting with third-party systems, data, services, and related interactions.
“Beta Product” means any Tavus product or service designated by Tavus as “beta”, “alpha”, “early access”, “pilot”, or similar designation.
“PALs” means the Tavus service described in Section 2.1 of these Supplemental Terms as made available by Tavus. PALs is a component of the Platform, and any references to the Tavus Platform in the ToS or these Supplemental Terms includes PALs by reference.
“PALs Documentation” means the materials made available by Tavus regarding the appropriate set up, use and configuration of PALs. PALs Documentation is available here: https://pals.help.usepylon.com/.
“Service Description” means the specific period of use, use limitations, and related use restrictions and requirements as set forth in the Tavus product or the pricing page on the Tavus website: https://www.tavus.io/pricing
2. PALs Service.
2.1 PALs. PALs is a multimodal, artificial intelligence-based service designed to talk, listen, and assist users across chat, voice, and video. PALs retain instructions, and take action by scheduling, writing, organizing, and connecting seamlessly with user’s tools and integrations.
2.3 Use Limitations. In addition to the use limitations, requirements, and conditions applicable to the Platform, PALs are subject to the additional use limitations set forth in the Service Description and these Supplemental Terms, including, but not limited to, those in Section 2.
2.4 No commercial use. You may use PALs solely for your personal, non-commercial use. Any use of PALS other than your personal, non-commercial use is unauthorized and prohibited.
2.5. Period of Use. Your use of PALs is limited to the period of use specified in the Service Description. The period of use begins on the date you first access or use PALS.
2.4 Fees. Your use of PALs is subject to your payment of the corresponding fees as specified in the Service Description.
3. Beta. You acknowledge and agree that PALs is a Beta Product. PALs has not been thoroughly tested, may not be fully functional, may be subject to error and defects, and may adversely impact your use of the Platform, your systems, or third-party systems. In addition, the use of PALs may result in the loss or unauthorized disclosure of your data (including but not limited to personally identifiable information), or similar disruptions or unpredictable damage.
3.1 Beta Warranty Disclaimer. In addition to the warranty disclaimers in the TOS, you acknowledge and agree that: THE BETA PRODUCT IS MADE AVAILABLE TO YOU “AS-IS” AND TAVUS MAKES NO WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO PALS OR YOUR USE OF THE SAME, AND EXPRESSLY DISCLAIMS ANY AND ALL SUCH WARRANTIES.
3.2 Indemnification and Support. Notwithstanding anything to the contrary in these Supplemental Terms or the TOS, you acknowledge and agree that PALs is made available to you without any Tavus obligation regarding indemnification, support services, or uptime commitments.
4. Setup and Use.
4.1 Setup. The setup, configuration, and use of PALs are set forth in the PALS Documentation. The types and versions of PALs, the actions PALs may perform, and the appropriate setup for these are specified in the PALs Documentation.
4.2 Access Through a Third-Party Service. PALs may allow you to link your Account with a Third-Party Account by allowing Tavus to access your Third-Party Account, as is permitted under the applicable terms and conditions that govern your use of each Third-Party Account. You represent that you are entitled to disclose your Third-Party Account login information to Tavus and/or grant Tavus access to your Third-Party Account without breach by you of any of the terms and conditions that govern your use of the applicable Third-Party Account and without obligating Tavus to pay any fees or making Tavus subject to any usage limitations imposed by such third-party service providers. YOUR RELATIONSHIP WITH THE THIRD-PARTY SERVICE PROVIDERS ASSOCIATED WITH YOUR THIRD-PARTY ACCOUNTS IS GOVERNED SOLELY BY YOUR AGREEMENT(S) WITH SUCH THIRD-PARTY SERVICE PROVIDERS, AND TAVUS DISCLAIMS ANY LIABILITY FOR PERSONALLY IDENTIFIABLE INFORMATION THAT MAY BE PROVIDED TO IT BY SUCH THIRD-PARTY SERVICE PROVIDERS IN VIOLATION OF THE PRIVACY SETTINGS THAT YOU HAVE SET IN SUCH THIRD-PARTY ACCOUNTS.
5. Agentic Services. You acknowledge and agree that PALs includes Agentic Services features, and that you are solely responsible for configuring, reviewing, and supervising the use of Agentic Services, as well as all actions, communications, and interactions performed by or resulting from the use of Agentic Services. Your use of PALs and the use of Agentic Services to initiate or automate any action is at your own election and risk. Tavus does not monitor or control Agentic Services, and makes no representations or warranties regarding (a) the Agentic Services, (b) the accuracy, completeness, results, harm, or outcome regarding the same, or (c) any violation of applicable law regarding the same. Tavus hereby disclaims, and you agree that Tavus shall not be liable for any damages, losses, or claims arising from or related to the Agentic Services, including but not limited to interactions with third-party systems.
